Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On November 15, 2018, the Compensation Committee of the Board of Directors of Ocwen Financial Corporation (the “Company”) approved a grant of 174,419 restricted stock units to John V. Britti, Executive Vice President and Chief Investment Officer of the Company, under the terms of the Company’s 2017 Performance Incentive Plan. The restricted stock units will vest in installments of 20%, 20% and 60% on the first, second and third anniversaries of the grant, respectively, subject to Mr. Britti’s continued employment and certain additional conditions.
